$20bn chemical company merger brings US and Euro law firms to table

Six law firms are working on $20 billion chemical company merger between Swiss company Clariant and Huntsman Corp in Texas.

Huntsman is represented by Kirkland & Ellis, Vinson & Elkins and Swiss firm Bar & Karrer Ltd. Clariant, meanwhile, has hired Cleary Gottlieb Steen & Hamilton and Swiss firm Homburger. The merger which was revealed this week and expected to be complete by year end would create a company with an enterprise value of about $20 billion and adopt the new name of HuntsmanClariant.

Kirkland

The Kirkland team for Huntsman is led by New York-based team comprising of partners David Fox, William Sorabella and Shawn O'Hargan and associate Patrick Jacobs. The team also includes tax partners Dean Shulman of New York and Mike Carew of Chicago, and associate Adam Kool of New York; capital markets partners Richard Aftanas and David Curtiss, both of New York; and antitrust partners Ian John of New York and Paula Riedel of London.

Cleary Gottlieb

At Cleary Gottlieb, corporate partner Victor Lewkow and Aaron Meyers, both of New York, are leading the firm's team for Clariant. Others are tax partners Yaron Reich and Corey Goodman, both New York; employment partner Michael Albano, New York; capital markets partner Ward Greenberg in Frankfurt; finance partner Amy Shapiro in New York and antitrust partners Thomas Graf of Brussels and David Gelfand of Washington, DC.

Clariant team

Corporate/M&A partner Frank Gerhard leads the Homburger team for Clariant, with assistance from partner Daniel Hasler, associates Marc Hanslin, Andreas Muller, Rafael Zump and Nadine Wahlquist and junior associate Valentin Spahr. Others include tax partner Reto Heuberger, associate Marc Vogelsang and junior associate Alessandro Meyer; competition partner Marcel Dietrich, counsel Andreas Burger, associate Sabrina Zimmermann and junior associate Francesco Bernasconi; and financial services partner Daniel Haeberli, associate Martin Grod and junior associate Olivier Buff.

Other firms

Other firms involved in the transaction include Paul, Weiss, Rifkind, Wharton & Garrison, which represents Moelis as a financial adviser to Huntsman. At Paul Weiss, New York partner Jeff Marell and counsel Scott Grader are advising Moel.
