A round-up of recent global deals and the lawyers who made them happen.

Italy: tasty deal

LVMH, the luxury goods group, recently acquired one of Italy’s oldest pastry shops Pasticceria Confetteria Cova with assistance from NCTM Studio Legale Associato, The Lawyer reports.
NCTM Senior partner Paolo Montironi and partner Pietro Zanoni advised LVMH on the acquisition of the Faccioli’s family business. LVMH will ensure that the Faccioli family remains a part of the business by keeping them on board in management and as shareholders.  

Offshore: Jersey investment

International legal firm the Ogier Group - based in Jersey - played a major part in Cazenove Capital Holdings Limited’s acquisition of Shroders plc for £424 million. The deal was finalised on 2 July after the Final Royal Court approved the Jersey scheme of arrangement.
Partner Raulin Amy led the Ogier team, which has been advising the investment business Cazenove with their investment structuring since 2004.


Abu Dhabi: health check

International firm King & Spalding lent a hand to Abu Dhabi healthcare service provider Al Noor Hospitals Group PLC by restructuring the group’s procedures, ultimately, resulting in a London Stock Exchange initial public offering (IPO) of £221m.
King & Spalding’s middle East-based partner Nabil Issa led the group assisting the corporate structure’s successful ranking in London. The group plans to use the earnings for organic and acquisition growth in the future.

Turkey: flying high

Global firm Herbert Smith Freehills operated as counsel on a faction of Turkish capital market transactions. The firm worked as international underwriters for Pegasus Airlines resulting in the US $330 million IPO, the Borsa Istanbul listing and on Kazanc? Holding's deal resulting in the US $225 million offering. The counsel also played a part in the Aksa Enerji block trade.
Capital markets partners Alex Bafi and Chris Haynes advised Barclays and IS Yatirim on the Pegasus IPO. In regards to the Aska Enerji sale of shares, Alex Bafi and Charles Howarth were the partners responsible for advising Bank of America Merrill.

Italy: stock control

NCTM acted for the Milan Stock Exchange company Montefibre S.p.A by outlining payment details and attempting to extend the payment deadline.
Gian Carlo Sessa and Daniele Tani – both partners – led the team assisting Montefibre S.p.A. on the deal, specialising in finances.
