Whirlpool has promoted Tanya Jaeger de Foras to the role of deputy general counsel. Ms de Foras, former vice president & chief legal officer Emea of Whirlpool, has been promoted from within the company to the global role of deputy general counsel. In her new role, she will be directly responsible, in addition to the legal direction of Emea, for those of North America and Asia, and for the strategic supervision of that of Latin America. In addition, as of January 1, 2020, she will also hold the position of chief compliance officer of the company. Prior to joining Whirlpool in 2005, Ms De Foras, a corporate lawyer in Italy, worked in a variety of industries, ranging from Pfizer to Luxottica and, before that, was a consultant to the US law firm Sullivan & Cromwell.

A former SEC lawyer has been named the chief legal officer of the crypto rating firm Crypto Asset Rating Inc. New hire Jake Prudhomme has been tasked to build a compliance program for the firm which can integrate best practices from SEC-regulated credit rating agencies to ensure that the integrity of the ratings process is not compromised. Mr Prudhomme is the financial technology startup’s first chief legal officer.

Compass Minerals (CMP), a global provider of essential minerals, has announced Mary Frontczak will be joining its senior management team as chief legal officer and corporate secretary, effective November 6. Ms Frontczak most recently served as senior vice president and general counsel at POET, the world’s largest biofuels producer. In addition to her role at POET, Ms Frontczak has held various leadership and legal positions with Bunge North America, Peabody Energy and The May Department Stores Company, as well as leading commercial litigation matters with private law firms earlier in her career.

The general counsel of Atara Biotherapeutics is to leave the role next month, leaving the firm to search for a new general counsel. Mina Kim will leave her post at the end of the week, but will remain with the company as a consultant through to April 10, 2020. Atara Biotherapeutics develops treatments for patients with cancer, autoimmune and viral diseases.

San Francisco-based community development financial institution Aura has turned to experience in choosing their new legal chief. Sven Kaludzinski has been appointed general counsel and corporate secretary of Aura, a financial technology company offering affordable loans to hard-working families. He will report to Aura ceo James Gutierrez and will oversee Aura’s legal, regulatory and compliance matters. Prior to joining Aura, Mr. Kaludzinski served as the general counsel for Ygrene Energy Fund, one of the leading providers of Property Assessed Clean Energy (PACE) financing in the US, where he was the founding member of the legal and compliance team that he grew and managed.

Vulcan Materials has named the successor general counsel to Michael Mills, who retired as the company’s legal chief las month. Denson Franklin will join NYSE-listed Vulcan Materials Company as senior vice president and general counsel on December 2. Mr Franklin is moving to Vulcan from law firm Bradley Arant Boult Cummings’ corporate and securities practice group, where he is a partner and has been a long-time adviser to Vulcan. Mitesh Shah has been promoted to serve as deputy general counsel. Alabama-based Vulcan is a member of the S&P 500 index and is a producer of construction aggregates and aggregates-based construction materials.

Clinical stage biotechnology company NGM Biopharmaceuticals, which focuses on developing transformative therapeutics for patients, has appointed Valerie Pierce as senior vice president, general counsel and chief compliance officer. Ms Pierce brings more than 25 years of experience providing broad legal guidance and leadership to public pharmaceutical and biotechnology companies. She joins NGM from Jazz Pharmaceuticals, where she worked since 2012, most recently as senior vice president, associate general counsel.

NYSE-listed Terex Corporation is promoting Scott Posner to become senior vice president, secretary and general counsel, reporting to chair, president and ceo John Garrison. Mr Posner will succeed Eric Cohen, who will leave Terex at the end of the year, and will become a member of the executive leadership team. Mr Cohen has been senior vice president, secretary and general counsel at the company for the past 22 years. Stacey Babson-Smith, vice president and chief compliance officer, will also report to Mr Garrison. Mr Posner joined Terex in 2004 and has taken on increasing responsibilities in the legal department, serving most recently as vice president, assistant secretary and deputy general counsel. He was an associate at Weil Gotshal & Manges before joining the company.

Prometheus Biosciences, a biopharmaceutical company, has appointed Chris Slavinsky as general counsel. He joins the company from Takeda, where he served as vice president of the Takeda Center for External Innovation, and head of Gastroenterology Business Development, Externalization and Special Projects. Prior to joining Takeda, Mr Slavinsky served in several key roles at Pfizer over a 17-year period, including chief counsel of several Pfizer business segments including business transactions, R&D, medical technologies, and anti-infectives.
