Simpson Thacher, Davis Polk advise on ChemChina's $43bn Syngenta deal

Simpson Thacher & Bartlett and Davis Polk & Wardwell are among the firms to have won key advisory roles on China National Chemical Corporation's (ChemChina) $43bn acquisition of Syngenta, the largest foreign takeover by a Chinese firm to date.

A Davis Polk & Wardwell team led by New York partner Louis Goldberg represented Syngenta, an agrochemical and seeds company, on US matters. The Swiss-headquarterd company also turned to local firm Bär & Karrer; the team was headed up by partners Rolf Watter and Dieter Dubs.

ChemChina turned to Simpson Thacher & Bartlett for advice, with partner Alan Klein leading the team. Swiss legal matters were provided by Homburger corporate head Dieter Gericke.

Keeping Basel HQ

Under the terms of the transaction, ChemChina intends to keep Syngenta’s headquarters in Basel while pursuing the next phase of its development in China and other emerging markets.

$465 a share

Syngenta stated yesterday that the agreed offer amounted to $465 a share, plus a special dividend of 5 Swiss francs ($4.91) a share to be paid immediately before the deal's closing, which Syngenta expects will occur by the end of the year. Sources: Legal Week; The Lawyer; The Wall Street Journal
