Classic Rock publisher sells up

UK: rock on

London stock exchange listed media group Future has been advised by global law firm Norton Rose on the sale of its music listening business for £10.2 million to Team Rock Limited - a Company controlled by Harwood Private Equity.
Future is a leading publisher of specialist interest magazine titles including guitar rock titles ‘Classic Rock’, ‘Metal Hammer’ and the leading rock award ‘Golden Gods’.
The Norton Rose team was led by London corporate partner Ian Lopez.

Asia: on the box

American media company Scripps Networks Interactive has been advised by London technology law firm Olswang on its acquisition of the Asian Food Channel (AFC), a leading food-focused lifestyle pay television network in Southeast Asia.
In a statement, Elle Todd - partner and head of media for Olswang Asia – commented: ‘The global media industry is undergoing a high degree of change, providing opportunities for integration and consolidation worldwide.’
The Olswang team was led by partners Andrew Stott, head of corporate, and Ms Todd, with assistance from Singapore corporate associates, Mun Yi Lee and Lucy Berry.

Europe: fund raiser

London-headquartered law firm Field Fisher Waterhouse has advised Oregon-based CUI Global on a £7.5 million fundraising from European investors.
The platform company - dedicated to the acquisition, development, and commercialisation of new, innovative technologies - has priced an underwritten public offering of 8,400,000 shares of its common stock at a price to public of $5.00 per share. Additionally, CUI has granted the underwriters the option to purchase up to an additional 1,260,000 shares of its common stock to cover over-allotments, if any, at the price to public. The total gross proceeds of the European and US portions of the offering are approximately $42 million.
FFW also advised CUI on the acquisition of Orbital Gas Systems Limited for £17 million.
Partner Michael Harte led the FFW team along with corporate partner Tim Bird, assisted by senior associate Tom Martin.

France: Kiss Kiss Bank Bank

New York law firm Kramer Levin has advised French crowdfunder KissKissBankBank on the launch of its new participative financing platform ‘helomerci’
Whereas KissKissBankBank is focused on creation projects, ‘hellomerci’ is open to any request (including transitional cash flow needs).
Subscribers can vote for their favourite projects and any business or association can mentor a project, associating their brand and bringing their credibility to the projects they choose. They can even participate to their financing.
KissKissBankBank was advised by Hubert de Vauplane on banking & finance regulatory aspects.

China: power play

Magic circle law firm Clifford Chance has advised Capital Dynamics on its strategic cooperation agreement with China-based fund of funds manager Diligence Capital.
According to the London-based law firm, the partnership will enable Capital Dynamics to join its long-standing global scope and infrastructure in private equity with Diligence Capital's local knowledge and expertise so as to enhance both parties' business in the Greater China region.
